Hoàng-Kim Cung (“Solicitor” or “Promoter”) introduces and refers prospective clients to **TYME Advisors** (“Advisor” or “RIA”). In making these introductions, Hoàng-Kim Cung provides information regarding TYME Advisors’ services, fees, and important disclosures. Prospective clients are strongly encouraged to review all information and regulatory filings provided by TYME Advisors carefully before engaging their services.
Referral Fees and Compensation Structure
Hoàng-Kim Cung has entered into a written agreement with TYME Advisors pursuant to which she refers prospective clients to TYME Advisors in exchange for cash compensation paid by the Advisor.
Percentage-Based Fees
If a referred individual elects to become an investment advisory client of TYME Advisors, Hoàng-Kim Cung will receive a referral fee calculated as a percentage of the investment advisory fees or revenue charged to the client by TYME Advisors. Where calculated as a percentage, the fee is 10% of the investment advisory fees charged to the client.
Duration of Fees
Where TYME Advisors’ fee is charged on assets under management (AUM), Hoàng-Kim Cung’s referral fee will be earned for the entirety of the client’s relationship with TYME Advisors.
Client Fee Protections
Hoàng-Kim Cung’s referral agreement with TYME Advisors requires that no portion of the referral fee will be charged directly to the client, and that there shall be no difference in the level of advisory fees a client will be charged by TYME Advisors resulting from this referral arrangement.
Limitation of Authority
Hoàng-Kim Cung is not authorized to provide investment advice on behalf of TYME Advisors or to act for, represent, or bind TYME Advisors in any way. No investment advisory agreement between you and TYME Advisors will become effective until formally accepted by TYME Advisors.
